Senior Corporate Counsel

Location: Flexible / Remote (United States)

Position Summary Legence is seeking an experienced and business-oriented Senior Corporate Counsel to join its Legal Department. Reporting to the General Counsel and working closely with senior business leaders across the organization, this attorney will provide legal support for mergers and acquisitions, acquisition integration, commercial transactions, financing activities, real estate matters, tax-related initiatives, corporate governance support, and strategic corporate projects.

Commercial Transactions & Contracting

• Draft, review, negotiate, and advise on:

◦ Master Services Agreements ◦ Statements of Work ◦ Vendor agreements ◦ Procurement agreements ◦ Professional services agreements ◦ Confidentiality agreements ◦ Partnership agreements ◦ Real estate and facilities-related contracts

Tax, Entity Management & Corporate Structure

Real Estate

• Draft and negotiate:

◦ Office leases ◦ Easements ◦ Access agreements ◦ Real estate purchase and sale agreements

Strategic Projects

◦ Acquisition integration programs ◦ Cross-functional legal projects ◦ Special projects assigned by the General Counsel ◦ UP-C and related transaction planning

Outside Counsel Management

Required Qualifications

• Significant experience supporting:

◦ M&A transactions ◦ Commercial contracting ◦ Corporate governance matters ◦ Financing transactions

Preferred Qualifications

Salary Range: $250,000 - $270,000
