Group Legal Counsel

Job Summary:

Modaxo’s Aczel Group, which holds our Vontas, TripSpark, TransTrack, Momentm, Expretio, and Busology business units (“BUs”), is looking for a Group Legal Counsel to be its lead legal advisor and strategic business partner. The Group Legal Counsel will work closely with the Group Leader, Group Team, and BU General Managers, to shape commercial, contractual, legal, strategy and risks to support the group’s continued growth.

Job Description:

Our Group Legal Counsel is a trusted business partner who sits with group and BU leadership in strategy reviews, deal reviews, and key initiatives to bring sound legal and commercial judgment. Group Legal Counsel reports to the Group Leader, leads a team of lawyers and contract managers across the group’s six BU, and is accountable for the quality, consistency, and efficiency of legal support group-wide.

Beyond direct business partnership, the Group Legal Counsel drives shared tools, processes, and best practice adoption across BUs; develops the group’s legal talent; provides ongoing, hands-on legal support to the BUs units; and supports M&A activity as the group and Modaxo continues to grow through acquisition.

The Group Legal Counsel has a dotted line relationship with Modaxo’s General Counsel, and will work together to develop Modaxo’s legal strategy and M&A growth.

Business Partnership with Group and BU Leadership

• Participate actively in group- and BU-level strategic conversations, including strategy reviews, deal reviews, and key initiatives.
• Provide legal, contracts, and general risk assessment to the Group Leader, General Managers, and BU’s legal teams, to inform business and commercial decisions.
• Act as a true business partner — a trusted advisor on legal matters and broader business questions alike, not solely a legal resource.
• Establish and maintain a network of external specialized legal support in areas such as employment law, IP law and other required areas to support BUs in specific cases as needed.
• Act as the Group’s legal leader; is the top contact and legal risk review and escalation point.

Establish Cross-BU Best Practices

• Effectively manage communications between the portfolio, the group, and the business units.
• Drive adoption of tools like HighQ across all business units and drive improvements to those tools to better support legal processes.
• Ensure mandatory adoption of AI tools within the legal function across all business units.
• Implement streamlined and automated legal processes across all business units, delivering measurable improvements in business results covering the full contract workflow from the intake through agreement signature and filing.
• Enforce and update the Group’s policies and governance documents and procedures.

Talent Development and Management

Work with all legal resources across the group — lawyers and contract managers alike — on performance, growth, and long-term bench strength:

• Support and collaborate with the General Managers to ensure consistent performance management across the group’s legal function, including regular goal setting, check-ins, and calibrated year-end reviews for both lawyers and contract managers.
• Build clear career progression frameworks and competency paths for legal and contract management roles, so team members understand what growth looks like at each level.
• Identify high-potential talent within the group’s legal function and build individualized development plans, including stretch assignments, secondments, and cross-BU exposure.
• Support the maintenance of active succession plans for all key legal roles across the group, ensuring continuity of support through leadership transitions or unplanned vacancies.
• Coach and mentor legal team members directly, and foster a culture of knowledge-sharing, feedback, and continuous learning across BUs.
• Partner with the General Manager, Group HR and BU Legal Counsel on talent reviews, compensation benchmarking, and recruiting for legal and contract management roles across the group.
• Drive engagement and retention of top legal talent through recognition, meaningful career mobility, and visibility into opportunities across the group’s business units.

Ongoing BU Legal Support

• Work with Group Leader and General Managers to assign the right level and number of legal resources to support every BU in the group based on business needs and resource workload.
• Manage the Group’s compliance and quarterly reporting obligations.
• Provide ongoing, regular legal support for the Group’s business units, act as lead legal resource for key contracts, litigation, and high-risk or multi-BU matters.
• Support General Manager and BU Legal Counsel with the coordination of the daily work of the contract managers assigned to BUs where needed .
• Fill-in and overflow legal support for all BUs.

M&A Support

• Support M&A activity across the group as needed, including diligence, purchase agreement negotiation, and integration of acquired assets and businesses.
• Manage legal resourcing of larger M&A deals within the group.
• Work with Modaxo General Counsel on Modaxo Global M&A and initiatives.
